Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and ChameleAI ("ChameleAI", "we", "us", "our"). The Service is operated by ChameleAI. By accessing or using the ChameleAI service, including our website, application, persona designer, deployment pipeline, image generation features, and any related interfaces (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

These Terms incorporate by reference the Acceptable Use Policy and the Privacy Policy, each of which forms part of the agreement between you and ChameleAI.

01. Acceptance and binding effect

By creating a ChameleAI account, accessing the Service, or using any feature provided through the Service, you acknowledge that you have read, understood, and agreed to these Terms in their entirety. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms are presented in English. A Spanish-language version is available upon written request to legal@chameleai.com. In the event of any conflict between language versions, the English version governs except where Mexican law requires otherwise.

ChameleAI provides a software-as-a-service platform for designing, testing, and deploying AI personas as Telegram bots. The Service includes, without limitation:

The features available to you may depend on your Subscription tier. ChameleAI may add, modify, or remove features at any time, subject to section 15.

04. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of your jurisdiction to use the Service. By accepting these Terms, you represent and warrant that you meet these requirements.

The Service is not directed at children. ChameleAI does not knowingly permit the registration of accounts by individuals under 18. If we become aware that an account has been opened by a minor, we will suspend the account and delete associated personal data in accordance with our Privacy Policy.

05. Account registration and security

To use most features of the Service, you must create an Account. You agree to provide accurate, current, and complete information at registration, and to keep your Account information updated.

You are responsible for maintaining the confidentiality of your Account credentials and for any activity that occurs under your Account, whether authorized by you or not. You must notify ChameleAI immediately of any unauthorized use of your Account or any other breach of security at security@chameleai.com.

ChameleAI is not liable for any loss or damage arising from your failure to comply with the security obligations in this section.

06. Subscriptions and billing

Certain features of the Service require an active paid Subscription. Subscription tiers, prices, and included features are listed at chameleai.com/#pricing and may be updated from time to time.

Subscriptions are billed in advance on a recurring basis, monthly or annually as selected at checkout, and renew automatically at the end of each billing period at the then-current price for the applicable tier, unless cancelled by you in accordance with section 08.

All fees are payable in United States dollars (USD) unless otherwise specified at checkout. Payment is processed through our payment provider, Stripe, Inc., subject to Stripe's terms and privacy policy. By submitting a payment instrument, you authorize ChameleAI and Stripe to charge that instrument for all amounts due under your Subscription.

If a payment fails, ChameleAI may retry the charge in accordance with industry-standard payment recovery practices. If recovery fails, your Subscription may be downgraded or suspended. Outstanding amounts remain payable.

07. Credits and one-time purchases

The Service includes metered features (such as image generation) that consume Credits. Credits may be included with your Subscription tier and may also be purchased separately as one-time top-ups.

Credits are non-refundable and non-transferable except as required by applicable consumer protection law. Unused Credits expire twelve (12) months from the date of purchase or grant, unless otherwise stated.

Credits have no cash value and may not be exchanged for currency. ChameleAI may, at its discretion, adjust Credit pricing, allotments, or consumption rates for any feature, with reasonable notice in advance of the change.

08. Cancellation and refunds

You may cancel your Subscription at any time through your Account dashboard or by emailing billing@chameleai.com. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. ChameleAI does not pro-rate refunds for partial billing periods, except as required by applicable consumer protection law.

Subject to the Federal Consumer Protection Law of Mexico (Ley Federal de Protección al Consumidor), if you are a consumer and contracted the Service through electronic means, you may have a right to cancel within five (5) business days of contracting and receive a refund of the corresponding portion of your subscription fee, provided you have not consumed material features of the Service during that period. To exercise this right, contact billing@chameleai.com within five business days of your initial purchase.

For Credits and other one-time purchases, refunds are available only where required by applicable law or where ChameleAI determines, at its discretion, that a billing error has occurred.

If your Account is terminated by ChameleAI under section 16 for a violation of these Terms or the AUP, you forfeit any unused Credits and are not entitled to a refund of any portion of your prepaid Subscription fees.

09. Taxes

Subscription and Credit prices are quoted exclusive of any applicable taxes. You are responsible for any value-added tax, sales tax, withholding tax, or similar government charges imposed by your jurisdiction in connection with your purchase. Where ChameleAI is required to collect tax on a transaction, the tax will be added to the invoice and charged to your payment instrument together with the underlying charge.

10. Acceptable use

Your use of the Service is governed by the Acceptable Use Policy, which sets out prohibited content, prohibited uses of the Service, persona authoring rules, and the enforcement framework. The AUP forms part of these Terms.

Violations of the AUP may result in suspension or termination of your Account under section 16, in addition to any other remedy available to ChameleAI under law.

11. Your content and license

You retain ownership of the User Content you author and upload to the Service, including Persona configurations, system prompts, knowledge base entries, and uploaded media. You represent and warrant that you have all necessary rights to submit such content and that submission of such content does not infringe the rights of any third party.

You grant ChameleAI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, process, modify (only as necessary for technical operation), and display the User Content for the purposes of (a) operating the Service, (b) providing the Service to you and to End Users of your Deployed Personas, (c) complying with legal obligations, and (d) improving the Service through aggregated, de-identified analysis. This license terminates when you delete the relevant User Content from the Service, except for: copies retained as necessary to comply with legal obligations; copies retained in routine backups; and aggregated, de-identified data derived from the User Content.

You are responsible for the content and behavior of any Persona you deploy. ChameleAI does not pre-approve Personas or Generated Content but reserves the right to disable, suspend, or remove any Persona or Generated Content that violates these Terms or the AUP.

12. ChameleAI intellectual property

ChameleAI and its licensors retain all right, title, and interest in and to the Service, including all software, models, designs, interfaces, brand names, logos, trademarks, documentation, and underlying technology. Nothing in these Terms transfers any ownership interest in the Service to you.

Subject to your compliance with these Terms, ChameleAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service in accordance with the documentation and your Subscription tier.

You may not (a) copy, modify, or create derivative works of the Service; (b) reverse-engineer, decompile, or otherwise attempt to extract the source code or model weights of the Service; (c) access the Service to build a competing product; (d) remove or obscure proprietary notices; or (e) use the Service in any manner that exceeds the scope of the license granted in these Terms.

13. Third-party services and platforms

The Service interoperates with third-party platforms, including Telegram. Your use of those platforms in connection with the Service is governed by the terms of those platforms in addition to these Terms. You are responsible for complying with all applicable third-party platform terms, including the Telegram Bot Terms and the Telegram Terms of Service.

ChameleAI is not responsible for the availability, content, or behavior of third-party platforms, and the inclusion of integrations does not imply endorsement.

14. Privacy and data protection

Your use of the Service is subject to our Privacy Policy, which describes how ChameleAI collects, uses, and discloses personal data. The Privacy Policy is incorporated into these Terms by reference.

Where you act as a data controller in respect of personal data of End Users of your Deployed Personas, you are responsible for compliance with applicable data protection law, including the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP), the General Data Protection Regulation (where applicable), and any other applicable law in the jurisdictions where your End Users are located.

15. Service availability and modifications

ChameleAI does not guarantee uninterrupted availability of the Service. The Service may be affected by scheduled maintenance, unscheduled outages, network issues, third-party platform incidents, and other factors. Subscription tiers may include service-level commitments; in the absence of such commitments, the Service is provided on a commercially reasonable best-efforts basis.

ChameleAI may modify, add, or remove features of the Service at any time. Material changes that adversely affect your use of the Service will be communicated with reasonable notice in advance, except where the change is required by law, by a third-party platform, or to address an urgent security or safety matter.

16. Suspension and termination

ChameleAI may suspend or terminate your access to the Service, in whole or in part, with or without notice, for any of the following reasons:

Upon termination, your license to use the Service ends, your right to access User Content through the Service ends, and your Account may be deactivated. Sections of these Terms that by their nature should survive termination — including sections 11, 12, 17, 18, 19, 26, and 27 — survive.

You may terminate your use of the Service at any time by closing your Account in your dashboard or by contacting billing@chameleai.com.

17. Disclaimers

The Service is provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, ChameleAI disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and freedom from defects or interruption.

ChameleAI does not warrant that the Service will meet your requirements, that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service or any underlying systems are free of viruses or other harmful components.

Generated Content is produced by AI models and may be inaccurate, inappropriate, or unexpected. You are responsible for evaluating Generated Content before relying on it for any consequential decision.

18. Limitation of liability

To the maximum extent permitted by applicable law, ChameleAI, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or in connection with these Terms or the Service, regardless of the cause of action and whether or not ChameleAI has been advised of the possibility of such damages.

The aggregate liability of ChameleAI to you for any claims arising out of or in connection with these Terms or the Service shall not exceed the greater of (a) the amount paid by you to ChameleAI in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities; in such jurisdictions, the limitations in this section apply to the maximum extent permitted by law.

19. Indemnification

You agree to defend, indemnify, and hold harmless ChameleAI, its officers, directors, employees, agents, and licensors from and against any claim, demand, loss, damage, liability, or expense (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in breach of these Terms or the AUP; (b) any User Content you submit; (c) any Persona you deploy; (d) any violation of applicable law arising from your use of the Service; or (e) any third-party claim related to a Deployed Persona operated by you.

20. Force majeure

ChameleAI shall not be liable for any failure or delay in performance under these Terms caused by events beyond its reasonable control, including acts of God, natural disasters, government actions, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, third-party platform outages, or pandemic-related disruption.

21. Notices

ChameleAI may provide notices to you via email to the address registered with your Account, via in-product notification, or by posting to the Service. Notices to ChameleAI must be sent to legal@chameleai.com and will be deemed received upon ChameleAI's confirmation of receipt.

22. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without ChameleAI's prior written consent. ChameleAI may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your consent. Any attempted assignment in violation of this section is void.

23. Severability and waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid or unenforceable provision will be replaced by an enforceable provision that comes closest to the intent of the original. Failure by ChameleAI to enforce any right under these Terms is not a waiver of that right.

24. Entire agreement

These Terms, together with the AUP, the Privacy Policy, and any order forms or supplemental terms to which you agree in connection with the Service, constitute the entire agreement between you and ChameleAI regarding the subject matter and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

25. Changes to these terms

ChameleAI may update these Terms from time to time. The current version is always published at chameleai.com/tos.html, with the effective date at the top of the document. Material changes will be communicated to active Account holders via email or in-product notice with at least fifteen (15) days' advance notice, except where immediate effect is required by law.

Your continued use of the Service after the effective date of an updated version of these Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your Account in accordance with section 16.

26. Dispute resolution

Before initiating any formal dispute, the parties agree to make a good-faith effort to resolve the dispute through informal negotiation. You agree to send a written description of the dispute to legal@chameleai.com and to allow ChameleAI thirty (30) days to respond before initiating any formal proceeding.

Any dispute arising out of or in connection with these Terms that cannot be resolved through informal negotiation shall be submitted to arbitration administered by the Mexican Center for Arbitration (Centro de Arbitraje de México, CAM) in accordance with its arbitration rules in effect at the time of the request for arbitration. The arbitration shall be conducted in Mexico City, Mexico, in either Spanish or English at the election of the claimant. The arbitration award shall be final and binding on both parties.

Notwithstanding the above, ChameleAI may seek injunctive or other equitable relief in any court of competent jurisdiction in order to protect its intellectual property or confidential information.

If you are a consumer under the Federal Consumer Protection Law of Mexico, you may have additional rights, including the right to bring a claim before the Federal Consumer Protection Agency (PROFECO). Nothing in this section limits those rights.

27. Governing law and jurisdiction

These Terms are governed by the laws of the United Mexican States, without regard to conflict-of-laws principles. Subject to section 26, the federal courts of Mexico City shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

28. Consumer protection notice

If you are contracting the Service as a consumer (consumidor) under the Federal Consumer Protection Law of Mexico, you are entitled to the protections established by that law, including but not limited to: clear and accessible information about the Service, transparent pricing, the right to cancel certain electronic contracts within five (5) business days, and recourse to the Federal Consumer Protection Agency (PROFECO).
